Welcome to Crib Index (“Crib Index,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our website, mobile applications, and related services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility

You must be at least eighteen (18) years of age to use the Services. By accessing or using the Services, you represent and warrant that you:

  • Are at least 18 years old;
  • Have the full legal right, authority, and capacity to enter into and be bound by these Terms.

If you do not meet these eligibility requirements, you must not use the Services.

2. Account Registration

Certain features of the Services require creating and maintaining a user account. By registering, you agree to:

  • Provide accurate, current, and complete information;
  • Promptly update your information to maintain its accuracy;
  • Safeguard your account credentials (username and password);
  • Be fully responsible for all activities conducted under your account.
  • You must notify us immediately of any unauthorized access or use of your account.

We reserve the right to suspend or terminate accounts for any misuse or breach of these Terms.

3. Property Listings and User Content

If you are a property owner, licensed agent, or registered agency, you may list properties for sale or lease through the Services. By submitting a property listing or other content (“User Content”), you represent, warrant, and agree that:

  • You have the lawful authority and rights to market and list the property;
  • All information, images, descriptions, and pricing are accurate, complete, and not misleading;
  • You have obtained all necessary approvals, consents, and permissions to list the property;
  • The property and listing comply with all applicable laws, regulations, and industry standards.
  • By submitting User Content, you grant Crib Index a non-exclusive, worldwide, royalty-free license to display, distribute, modify, and promote your content for purposes of operating and improving the Services.

We reserve the right to review, suspend, reject, or remove any User Content or listing at any time and for any reason, with or without notice, without liability.

4. No Agency / No Brokerage Relationship

Crib Index is a technology platform for property listings and is not a real estate agent, broker, or intermediary. We do not facilitate, guarantee, or participate in any property transactions. Users are solely responsible for conducting due diligence and complying with all applicable laws when buying, selling, or leasing property.

5. Subscription Fees

Certain Services, including listing or promoting properties, may require payment of fees. All fees, billing terms, and payment conditions will be disclosed prior to purchase and are subject to change at our sole discretion.

6. Refund and Cancellation Policy

  • Fifty percent (50%) of all paid fees is non-refundable and allocated to activation, onboarding, and administrative costs. The remaining fifty percent (50%) may be eligible for a pro-rata refund based on the number of days the service was used relative to the subscription period.
  • Refund requests must be submitted in writing with all required documentation. Once verified, processing may take 2–4 weeks.
  • Refunds are issued at Crib Index’s sole discretion and are subject to compliance with these Terms and any special circumstances.

7. Prohibited Activities

You agree not to engage in any of the following:

  • Using the Services for unlawful purposes or in violation of applicable laws;
  • Harassing, threatening, intimidating, or defaming others;
  • Posting false, misleading, defamatory, or unlawful content;
  • Attempting to bypass or compromise security features of the Services;
  • Sending unsolicited communications, spam, or promotions;
  • Interfering with, overloading, or disrupting the Services or connected networks;
  • Using information from the Services to harm, exploit, or abuse others;
  • Using the Services for commercial purposes or competing with Crib Index without authorization.
  • Submitting false, misleading, malicious, or bad-faith reports through the whistleblowing or reporting system;

Violation of these restrictions may result in suspension or termination of access.

8. Whistleblowing & Reporting System

8.1 Purpose

Crib Index provides a whistleblowing and reporting mechanism that allows users to report suspected fraud, misconduct, or unethical behavior related to listings, agents, or use of the Services.

This system is intended to enhance user safety, transparency, and trust within the platform.

8.2 User Responsibility

By submitting a report, you agree that:

  • The information provided is accurate to the best of your knowledge
  • You are acting in good faith and not for malicious or abusive purposes
  • You will not knowingly submit false, misleading, or defamatory claims
8.3 Anonymous Reporting

Users may submit reports anonymously. However:

  • Anonymous reports may limit our ability to investigate or follow up
  • We are not obligated to act on incomplete or unverifiable reports
8.4 Investigation and Enforcement

Crib Index reserves the right, at its sole discretion, to:

  • Review and investigate any report
  • Request additional information or clarification
  • Remove or suspend listings
  • Restrict, suspend, or terminate user accounts
  • Report suspected illegal activity to relevant authorities

All decisions are made based on available evidence and internal policies.

8.5 No Guarantee of Outcome

While we take all reports seriously, we do not guarantee:

  • That every report will result in action
  • That investigations will lead to specific outcomes
  • Immediate resolution timelines
8.6 Limitation of Liability

Crib Index shall not be liable for:

  • Actions taken or not taken in response to a report
  • Any consequences arising from reliance on reported information
  • Disputes between users resulting from reported content
8.7 Protection Against Abuse

We reserve the right to take action against users who misuse the reporting system, including:

  • Submitting false or malicious reports
  • Attempting to harm other users unfairly
  • Repeated abuse of the reporting mechanism

Such actions may result in suspension or permanent removal from the platform.

8.8 Relationship with Privacy Policy

All personal data submitted through the whistleblowing system is handled in accordance with our Privacy Policy.

9. Intellectual Property

All rights, title, and interest in the Services, including software, text, graphics, logos, designs, and other original content (excluding User Content), are the exclusive property of Crib Index and its licensors.

The Services are protected by copyright, trademark, trade dress, and other intellectual property laws in Kenya and internationally. You may not reproduce, distribute, modify, or use our trademarks or branding without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Crib Index, its directors, officers, employees, agents, affiliates, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, or goodwill, arising from:

  • Your access to or use of the Services;
  • Third-party content or conduct on the Services;
  • Any content obtained through the Services; or
  • Unauthorized access, use, or alteration of your data or account.

11. Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise.

Without limiting the foregoing, Crib Index does not warrant that:

  • The Services will be uninterrupted, secure, or error-free;
  • Defects, errors, or inaccuracies will be corrected;
  • The Services are free from viruses or harmful components;
  • Results obtained from the Services will meet your requirements.

All implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed.

12. Indemnification

You agree to indemnify, defend, and hold harmless Crib Index, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses, including reasonable legal fees, arising out of:

  • Your use of the Services;
  • Your User Content;
  • Any violation of these Terms; or
  • Any infringement of third-party rights.

13. Governing Law, Dispute Resolution, and Severability

These Terms are governed by the laws of the Republic of Kenya.

Disputes arising from these Terms shall first be addressed through good-faith negotiations. If unresolved, disputes may be submitted to arbitration in Nairobi, Kenya, under the Arbitration Act, 1995, and the decision shall be final and binding.

If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Amendments

We may modify, amend, or replace these Terms at any time at our sole discretion. Material changes will include at least 30 days’ notice prior to taking effect.

Continued use of the Services after amendments constitutes acceptance of the revised Terms. If you do not agree, you must discontinue use of the Services.
